Terms of Service

These Terms of Service ("Terms") govern your use of the website at automindz-solutions.com (the "Website") and any services provided by Automindz Solutions L.L.C-FZ ("Automindz," "we," "us," or "our"). By accessing our Website or engaging our services, you agree to be bound by these Terms.

1. Services

Automindz Solutions provides done-for-you AI-powered talent pipeline systems for recruitment agencies and companies. Our services include, but are not limited to:

• Automated candidate sourcing and multi-channel outreach campaigns
• AI-powered lead generation and pipeline management
• CRM and ATS integrations
• Campaign strategy, setup, and ongoing optimization
• Access to our Resource Hub and educational content

The specific scope, deliverables, and pricing of services are defined in individual service agreements or proposals between Automindz and the client.

2. Client Obligations

By engaging our services, you agree to:

• Provide accurate and complete information necessary for us to deliver services (e.g., target market details, ideal candidate profiles, CRM access)
• Respond to reasonable requests for feedback, approvals, or information in a timely manner
• Use our services and any generated leads or data in compliance with all applicable laws, including data protection and anti-spam regulations
• Not resell, redistribute, or sublicense our systems, workflows, or proprietary methodologies without written consent

3. Intellectual Property

All systems, workflows, automation templates, proprietary methodologies, software, and content created by Automindz remain our exclusive intellectual property. You may not copy, modify, reverse engineer, or create derivative works based on our systems.

Campaign data, leads, and candidate information generated through our services belong to the client. Upon termination of services, we will provide a reasonable export of your campaign data upon request.

4. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the engagement. This includes, but is not limited to:

• Business strategies and internal processes
• Client lists, candidate databases, and campaign data
• System configurations and workflow designs
• Financial terms and pricing

Confidentiality obligations survive the termination of any service agreement for a period of two (2) years.

5. Payment Terms

Payment terms are specified in your individual service agreement or proposal. Unless otherwise stated:

• Pilot and trial campaigns require payment in advance before work begins
• Retainer and ongoing services are billed monthly in advance
• Invoices are due within fourteen (14) days of issuance unless otherwise agreed
• Late payments may result in suspension of services and may incur interest at the rate of 1.5% per month on the outstanding balance

All fees are quoted in the currency specified in your service agreement and are exclusive of applicable taxes unless stated otherwise.

6. Service Levels and Disclaimers

Automindz provides pipeline generation and outreach automation services on a best-effort basis. While we strive for excellent results and have a strong track record, we do not guarantee:

• Specific numbers of leads, meetings, or placements
• Specific reply rates or conversion rates
• Revenue or financial outcomes

Results depend on many factors including your market, niche, offering, and responsiveness. Case studies and metrics shared on our Website represent actual past results but are not guarantees of future performance.

7. Limitation of Liability

To the maximum extent permitted by law, Automindz's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client during the three (3) month period immediately preceding the event giving rise to the claim.

In no event shall Automindz be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether such damages were foreseeable.

8. Termination

Either party may terminate ongoing services by providing thirty (30) days written notice via email. Upon termination:

• Any outstanding fees for services already rendered remain due and payable
• We will provide a reasonable transition period and export of your campaign data
• Access to our systems, tools, and Resource Hub will be revoked
• Confidentiality obligations continue as specified in Section 4

We reserve the right to terminate services immediately if you breach these Terms, engage in fraudulent activity, or use our services in violation of applicable laws.

9. Website Use

By using our Website, you agree not to:

• Use automated tools to scrape, crawl, or extract data from our Website beyond what is permitted by our robots.txt
• Attempt to gain unauthorized access to our systems or accounts
• Use our Website for any unlawful purpose or to transmit harmful content
• Interfere with the proper functioning of the Website

10. Resource Hub

Access to our Resource Hub requires account registration. You are responsible for maintaining the security of your account credentials. Resource Hub content is provided for your personal or internal business use only and may not be redistributed, resold, or published without our written permission.

11. Indemnification

You agree to indemnify and hold harmless Automindz, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or your violation of any applicable law or regulation.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai. Any disputes arising from or relating to these Terms or our services shall be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts of Dubai, U.A.E.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. For active clients, we will also notify you via email. Your continued use of our Website or services after changes are posted constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
